Dan Morgan is a partner with Dickstein Shapiro’s Corporate & Finance Practice and focuses his practice on business planning, employee benefits, executive compensation, and mergers and acquisitions. Mr. Morgan has substantial experience in executive compensation planning, as well as in the negotiation and preparation of employment contracts, deferred compensation agreements, severance agreements, and shareholders’ agreements, and in the representation of clients in connection with financing, buying, and selling businesses. He assists clients in the design, establishment, operation, and termination of all types of retirement and equity compensation plans and other employee benefits, such as health plans, cafeteria plans, and fringe benefits. He also has worked with a broad range of clients on employment law matters, including compliance with federal and state antidiscrimination laws, unemployment compensation laws, and wage and hour laws.

Mr. Morgan has handled Internal Revenue Service and Labor Department audits and investigations involving retirement plans and other employee benefits and has made numerous filings under the Internal Revenue Service’s voluntary correction program for retirement plans. He also has represented many businesses in connection with employee leasing and other contingent workforce issues, including a large number of Internal Revenue Service audits and inquiries regarding the characterization of workers as independent contractors rather than as employees.
